PayPal in Talks to Sell Itself to Stripe and Advent

PayPal is reportedly negotiating a potential sale to a group involving Stripe and private-equity firm Advent International, after rejecting an earlier $53 billion offer as too low.

PayPal is reportedly in advanced discussions to sell itself to a consortium involving Stripe and Advent International, in a deal that could significantly reshape the global digital-payments industry. The negotiations follow an earlier offer in July worth approximately $60.50 per PayPal share, valuing the company at about $53 billion. PayPal considered that proposal insufficient, and the two sides have since discussed a potentially higher price.

The potential transaction comes as PayPal works through a major turnaround under CEO Enrique Lores, who took over in March. The company has been cutting costs, reorganizing its operations into three business areas and increasing its focus on artificial intelligence. PayPal has also highlighted continued growth in businesses including Venmo, Braintree, its debit-card services and buy-now-pay-later products.

For Stripe, acquiring PayPal would represent a major expansion of its reach. PayPal has hundreds of millions of active accounts and a large merchant network, while Stripe has built a powerful payments infrastructure business for online companies. Combining the two businesses could create a much larger payments platform, although integrating their operations would also present substantial regulatory and strategic challenges.

The reported negotiations also reflect PayPal’s dramatic change in market value over the past several years. During the pandemic-era technology boom, PayPal’s market capitalization exceeded $280 billion, but its value later fell sharply as growth in its branded checkout business weakened. Before the acquisition discussions emerged, the company had been valued at roughly $40 billion; Friday’s reports pushed its market value back toward $54 billion.

However, no deal has been finalized, and the negotiations could still collapse. If Stripe, Advent and PayPal agree on a higher offer, the transaction could become one of the most significant fintech acquisitions in years. It would also mark a major turning point for PayPal, transforming the company from an independent publicly traded payments giant into part of a larger financial-technology platform.
